1. Who We Are

  • The Shady Oaks POA is a nonprofit association that manages and maintains the common property in our subdivision to protect and enhance property values.
  • Membership is automatic and mandatory for all 75 lot owners in Shady Oaks, Johnson, Arkansas.

2. Membership and Voting

  • Only one vote per property lot.
  • You must be current on dues ("in good standing") to vote.
  • If you can't attend a meeting, you may assign your vote to another member in good standing via a proxy form.

3. Meetings

  • The Annual Membership Meeting happens each year between March 15 and April 15 — when we vote on board members and discuss community matters.
  • Special meetings can be called by the board or by petition (40% of members).
  • At least 15 members or valid proxies are required for official decisions (a quorum).

4. Board of Directors

  • There are three directors, each serving 3-year terms.
  • One director is elected each year at the annual meeting.
  • Directors choose from among themselves the roles of President, Vice President, and Secretary/Treasurer.
  • Vacancies are filled by board appointment.

5. What the Board Does

  • President: Runs meetings and manages vendor relationships.
  • Vice President: Handles complaints and helps resolve disputes.
  • Secretary/Treasurer: Manages meeting records, communications, dues, and finances.
  • Shared responsibilities include pool, playground, grounds, newsletters, and member communications.
  • All three directors have equal voting rights on decisions.

6. Dues and Finances

  • Dues are mandatory and set each year by December 15.
  • Dues are due by the Annual Membership Meeting; late payments incur $10/month in penalties.
  • Directors receive a dues credit for each month served.
  • An independent financial review is conducted annually by 3 non-board members.

7. Insurance

  • The board ensures a minimum $1 million liability policy covers POA activities and amenities.
  • Directors are protected from liability unless their actions are fraudulent or intentional misconduct.

  • Changes to these by-laws require a majority vote at a scheduled membership meeting.
